1.Introduction

YappaTalk is owned and operated by Meebo Technologies (“we”, “us” and “our”), with its registered office and principal place of business at 53/2, 6th Street, DHA Phase 5, Karachi, Pakistan.

We provide the YappaTalk website and related online services, including live English conversation sessions, memberships and associated features, subject to your acceptance of these terms and conditions and the policies referenced on our website.

2.Applicability and updates

By visiting YappaTalk, creating an account, booking a session or purchasing a membership, you agree to these terms and conditions and any additional policies referenced on our website.

You confirm that you are legally able to enter into a binding agreement and are not prohibited from receiving our services under the laws of Pakistan or any other applicable jurisdiction.

We may update these terms and conditions from time to time. Your continued use of YappaTalk will be subject to the latest version published on our website.

3.Terms of usage

You may not use YappaTalk or its services:

• for any unlawful purpose;
• to provide false or misleading information;
• to harass, abuse, threaten or discriminate against other users, hosts or staff;
• to infringe our intellectual property rights or those of others;
• to upload or transmit viruses, malicious code or other harmful material;
• to collect or misuse the personal information of others;
• to interfere with the security or operation of YappaTalk; or
• for any obscene, fraudulent or otherwise prohibited purpose.

Users participating in YappaTalk sessions are expected to behave respectfully toward hosts and other participants.

We reserve the right to suspend or terminate access where these terms and conditions are violated.

4.Intellectual property

The YappaTalk website, brand, software, designs, content, session materials and related intellectual property are owned by Meebo Technologies or used under appropriate licence.

Nothing in these terms and conditions transfers any intellectual property rights to users. Content may not be copied, reproduced, distributed or commercially exploited without our prior written permission.

5.Indemnity and limitation of liability

You agree to indemnify and hold Meebo Technologies, its employees, contractors, partners and service providers harmless from claims arising from your breach of these terms and conditions, violation of applicable law or infringement of the rights of another party.

While we aim to provide reliable and accurate services, we do not guarantee that YappaTalk will always operate without interruption, delay or technical error.

Your use of YappaTalk is at your own discretion and responsibility. To the extent permitted by law, Meebo Technologies shall not be liable for losses resulting from circumstances outside our reasonable control.

We may decline or cancel a booking or membership transaction where a service is unavailable, a payment cannot be processed, there is suspected misuse or fraud, or circumstances outside our control prevent us from providing the service. Where applicable, refunds will be handled according to our published cancellation and refund policy.

6.Termination

We may suspend or terminate access to YappaTalk, including an account or membership, where a user:

• provides false or misleading registration information;
• disrupts sessions or interferes with other users;
• misuses the website or services;
• violates these terms and conditions; or
• where access must be restricted following a lawful request from an appropriate authority.

Termination does not affect any rights or obligations that arose before termination.

7.Severability and waiver

If any provision of these terms and conditions is found to be invalid or unenforceable, it will be amended to the minimum extent necessary or removed, while the remaining provisions will continue in full force.

Our failure to enforce any provision does not constitute a waiver of our rights.

8.Governing law and jurisdiction

These terms and conditions are governed by the laws of the Islamic Republic of Pakistan.

You agree that the courts of Karachi, Pakistan, including any applicable consumer court, shall have jurisdiction over disputes arising from or relating to these terms and conditions or the use of YappaTalk.
